# Terms of Service

1. Services

Nexlayer provides dedicated engineering teams and software development services. The specific scope, deliverables, and timeline for each engagement are agreed upon in a separate statement of work (SOW) or service agreement.

2. Intellectual Property

All source code, designs, and deliverables produced during an engagement are owned by the client upon full payment, unless otherwise specified in the service agreement. Pre-existing intellectual property of either party remains with the original owner.

3. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes source code, business strategies, technical architecture, and user data. NDAs are available upon request and included in all plans.

4. Payment Terms

Pricing is as agreed in the service agreement. Invoices are issued monthly and are payable within 14 days of receipt. All prices are listed in GBP and exclusive of VAT where applicable.

5. Cancellation

Either party may terminate the engagement with 30 days' written notice. Work completed up to the termination date will be invoiced and all deliverables transferred to the client. No long-term lock-in contracts are required.

6. Limitation of Liability

Nexlayer's total liability for any claim arising from our services shall not exceed the fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

7. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be resolved through good-faith negotiation before pursuing formal proceedings.
